The Corporate Affairs Commission was established by the Companies and Allied Matters Decree, which was promulgated in 1990 to regulate the formation and management of companies. 

Its establishment as an autonomous body was as a result of the perceived inefficiency and ineffectiveness of the erstwhile Companies Registry, a department within the federal Ministry of Commerce and Tourism, which was then responsible for the registration and administration of the repealed Companies Act of 1968. 

Functions of the Commission

The Commission performs following functions placed upon it by its enabling Decree: 

  • To administer the Decree, including the regulation and supervision of the formation, incorporation, management and winding up of companies 
  • To establish and maintain companies registry and offices in all the states of the Federation suitably and adequately equipped to discharge its functions under the Decree or any law in respect of which it is charged with responsibility; Arrange and conduct an investigation into the affairs of any company where the interests of the shareholders and the public so demand;
  • To perform such other functions as may be specified by an Act or enactment; and
  • To undertake such other activities as are necessary or expedient for giving full effect to the provisions of the Decree. 
  • The Commission also registers business names, and Incorporated Trustees as well as provides a wide range of ancillary services. 

It has in its directory of companies, all the companies incorporated in Nigeria since 1912 when the first company in Nigeria was incorporated. 

Organisation of the Commission 

The Governing Council of the Commission consists of the chairman who is appointed by the President of Nigeria, representatives from various sectors of the economy and the registrar-general who takes charge of day-to-day activities. 

Services of the Commission

Services Offered at the Head Office, Abuja 

  • Incorporation of Companies (Private or Public Company, Limited by guarantee).
  • Registration of Business Names. 
  • Registration of Incorporated Trustees. 
  • Conducting searches. 
  • Issuance of certified true copies of filed documents. 
  • Registration of share capital increase 
  • Acceptance of statutory filings, increase, change of name. 
  • Arrange or conduct investigation into the affairs of any company where the interests of the shareholders and the public so demand. 
  • Management and winding up of companies. 

Services Offered at the State Offices 

  • Business name registration. 
  • Statutory filings required by the CAMD processed and subsequently transferred to headquarters. 
  • Verification and assessment of applications for company incorporation for final approval and issuance of certificate by the head office. 
  • Sale of all statutory forms and publications made by the Commission. 
  • Responding to enquiries and complaints on the Commission. 
  • Handling preliminary process of accreditation of Lawyers, Chartered Accountants and Chartered Secretaries who are the recognised professional direct users of the Company's registry.
